These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Ascend Systems ("Ascend," "we," "our," or "us") governing your access to and use of the Ascend Systems platform, website at runascend.io, and all related services.

By creating an account, starting a free trial, or using any part of our service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Ascend Systems provides a business operating platform designed for home service contractors and small businesses. Our services include but are not limited to:

• CRM and contact management
• Website design and hosting tools
• Quoting, invoicing, and payment processing
• Online booking and scheduling
• Email and SMS marketing campaigns
• Reputation management and review automation
• AI-powered tools including voice, chat, and content generation
• Pipeline and opportunity management
• Team management and user permissions

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to active subscribers.

To access Ascend Systems, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with any third party
• Be at least 18 years of age to create an account

You are solely responsible for all activity that occurs under your account. Ascend Systems is not liable for any loss or damage arising from unauthorized account access resulting from your failure to keep your credentials secure.

Ascend Systems offers the following subscription plans billed on a monthly or annual basis:

• All payments are processed securely through Stripe
• Subscriptions are billed automatically at the start of each billing cycle
• Annual plans are billed upfront and are non-refundable after the 14-day trial period
• You authorize Ascend Systems to charge your payment method on file for all applicable fees
• Prices are subject to change with 30 days' written notice to active subscribers
• Additional usage-based fees may apply for SMS, calls, and email delivery beyond plan limits

Ascend Systems offers a 14-day free trial for new subscribers. During the trial period:

• You will have full access to all features included in your selected plan
• You will not be charged until the 14-day trial period expires
• If you cancel before the trial ends, you will not be billed
• After 14 days, your subscription will automatically activate and your payment method on file will be charged
• Free trials are available to new customers only — one per business entity

You may cancel your Ascend Systems subscription at any time from within your account dashboard. No phone call or written notice is required.

• Cancellations take effect at the end of your current billing period
• You will retain access to your account until the end of the paid period
• Monthly subscriptions are non-refundable once the billing cycle has started
• Annual subscriptions are non-refundable after the 14-day free trial period
• Ascend Systems reserves the right to issue refunds at its sole discretion in exceptional circumstances

You agree to use Ascend Systems only for lawful purposes and in accordance with these Terms. You must not use our platform to:

• Send unsolicited bulk messages (spam) or violate CAN-SPAM, TCPA, or other applicable laws
• Engage in fraudulent, deceptive, or misleading practices
• Harass, threaten, or harm any individual or group
• Distribute malware, viruses, or any harmful code
• Attempt to gain unauthorized access to our systems or another user's account
• Collect or harvest personal data without proper consent
• Violate any applicable local, state, national, or international law or regulation
• Resell, sublicense, or redistribute access to the platform without written authorization

Violation of this section may result in immediate account suspension or termination without refund.

All content, features, and functionality of the Ascend Systems platform — including but not limited to software, text, graphics, logos, icons, images, and the overall design — are the exclusive property of Ascend Systems and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your internal business purposes during your active subscription. You may not copy, modify, distribute, sell, or lease any part of our platform without prior written consent from Ascend Systems.

Your content remains yours. You retain all ownership rights to the data, content, and materials you upload or create within the platform.

You retain full ownership of all data you input into Ascend Systems, including your customer contacts, business information, and content. By using our platform, you grant Ascend Systems a limited license to process and store your data solely for the purpose of providing our services to you.

To the fullest extent permitted by applicable law, Ascend Systems and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption.

In no event shall our total liability to you for all claims arising from or relating to these Terms or your use of our services exceed the amount you paid to Ascend Systems in the twelve months preceding the claim.

Ascend Systems is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that:

• The platform will be uninterrupted, error-free, or completely secure
• Any defects or errors will be corrected
• The results obtained from use of the platform will meet your specific requirements or expectations
• Any specific business outcomes, revenue growth, or lead generation results are guaranteed

We will make commercially reasonable efforts to maintain platform uptime and performance, but we cannot guarantee uninterrupted service.

Either party may terminate the service relationship at any time:

Upon termination, your right to access the platform will cease immediately. Sections of these Terms that by their nature should survive termination shall remain in effect.

Ascend Systems reserves the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification to your registered address.

Your continued use of the platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should cancel your subscription before the changes take effect.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Ascend Systems shall be resolved through binding arbitration rather than in court, except where prohibited by law.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative proceeding.
